Client Service Terms
These are the standard terms on which Next Step Group Limited, trading as Next Step Digital Solutions delivers professional services: website design and development, software and applications, branding, marketing, research, compliance support, hosting and ongoing support. They apply together with the proposal or statement of work you have signed. If the two conflict, the signed proposal prevails.
Fees and deposits
Unless the proposal says otherwise, 50 per cent of the total fee is payable on instructing us to proceed, 25 per cent on review of the first draft, and the remaining 25 per cent when the work is complete, subject to the approval and rejection clauses below. We are not obliged to begin work until the deposit has been received.
The deposit is refundable only where we have not met our obligation to deliver the work. It is not refundable where the work has been carried out and you then decide not to proceed.
Materials you supply
You supply the text, images, logos and other material needed for the work, in a usable format, by the dates in the schedule. Where we source material on your behalf, the cost is quoted and agreed first.
Variations
A request that goes beyond the agreed scope is quoted as a variation before it is carried out, with its effect on the schedule stated. We do not absorb scope changes silently and we do not invoice for them without your agreement.
Delays and your responsibilities
Delivery dates assume timely feedback, content and decisions from your side. We ask you to name a single point of contact who can give decisions. Where material or feedback is outstanding, the schedule moves, and where a project is inactive for an extended period we may invoice for the work completed to that point.
Approval of work
On completion we notify you and you have seven days to review. Tell us in writing within those seven days about anything unsatisfactory. Work not reported as unsatisfactory within the review period is treated as approved, and the balance becomes due.
Rejected work
If you reject work within the review period, we will correct the points you have recorded. Where we reasonably consider a rejection to be unreasonable, or where corrected work is again rejected without a stated reason, we may treat the contract as at an end and take steps to recover payment for the work completed.
Intellectual property you provide
You confirm that you own, or are licensed to use, everything you give us, and that our use of it will not infringe anyone’s rights. You indemnify us against claims arising from material you supplied.
Ownership of the work
On payment in full, ownership of the deliverables created for you passes to you: source code, data, content, the domain and infrastructure accounts, and the documentation that goes with them. We transfer them at handover with a component inventory, and we will help you move them if you change supplier. We do not hold your property as leverage. Handover is conditional only on outstanding fees being settled.
We keep ownership of our own pre-existing tools, frameworks, libraries and components, and of anything licensed to us by a third party. Where those are used in your deliverable, you receive a perpetual licence to keep using them as part of it.
Search engines and results
We build to current good practice and we do not guarantee any ranking, traffic level or commercial result. No agency can, and any who say otherwise are guessing.
Confidentiality
Each of us keeps the other’s confidential information confidential and uses it only for the engagement. The people who work on your project are employees or contracted team members bound by written agreements that carry the same obligation. Where a specialist outside that group is needed, we ask you first.
Backups
During the engagement we keep backups of the work in progress and deliver backups to your own hosting account, which you own. After handover, responsibility for your own archive rests with you unless you have a maintenance or hosting plan with us that covers it.
Domains, hosting and third-party services
Where we buy a domain, hosting or a third-party service on your behalf, the credentials are yours and we hand them over on reimbursement of what we have paid. Third-party services are governed by their own terms, and we do not warrant them.
Accessibility
We build to WCAG 2.2 Level AA and accessibility criteria go into the acceptance criteria, so the obligation is verifiable at handover. We are a supplier rather than a certifying body; any statutory duty under accessibility legislation remains yours.
Compatibility
We test against current versions of the major browsers on desktop and mobile. We do not support browsers the vendor no longer supports unless that is agreed and quoted.
Online selling
Where we build a store or take payments for you, you remain responsible for the lawfulness of what you sell, for your own terms, refunds and tax, and for meeting the rules of your payment provider and the card schemes.
Additional expenses
Expenses such as stock photography, fonts, licences, plugins and courier charges are quoted in advance and invoiced at cost unless the proposal states otherwise.
Limitation of liability
We are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability for any claim is limited to the fees paid for the work that gave rise to it. Nothing here limits liability that cannot lawfully be limited.
Governing law
These terms are governed by the laws of Jamaica, and the courts of Jamaica have non-exclusive jurisdiction over disputes arising from them. Where a client is established in Canada, we may agree in writing that the laws of the Province of Ontario govern that engagement instead.
